Electronic Solutions, based in Nashua, New Hampshire, has 9,000 employees working at 16 sites with 2008 sales of 3.5 Billion, ES provides systems and products that maximize the effectiveness and safety of fighting forces and first responders. Note: Position can be located at Electronic Solutions Facilities in New Hampshire, Massachusetts or Northern Virginia/Washington DC.
To assist the General Counsel in providing legal advice and representation involving all matters where the Company, including its subsidiaries and affiliates is, or would be, a party.
1. Expertise in Government Contracts within the Defense arena. (ITAR, FAR within the DOD arena).
2. Exposure to IP and Employment Law.
3. Lead and guide departments, managers and executives to resolution on government contracts and legal issues.
4. Travel to NH, VA and TX locations.
Conducts basic legal research under minimum supervision and prepares written opinions based on that research.
Prepares drafts of various contractual documents including, but not limited to, leases, licenses, purchase and sale agreements, non-disclosure agreements, and teaming agreements.
Prepares corporate resolutions and monitors corporate filings.
Participates in company consolidations, dissolutions and mergers. Prepares copyright and trademark applications.
Participates in reviewing and drafting various company policies and procedures.
Conducts ethics and other employment related investigations under the supervision of the General Counsel and/or Assistant General Counsel.
Assists in the preparation of various legal training courses.
Interprets various governmental regulations and policies.
Accepts other tasks as assigned by the General Counsel.
Frequent mid-level contact with customers, other contractors, government officials, outside counsel, and vendors.
Bachelor of Arts or Science and a Juris Doctorate Degree.
Admission to State Bar plus twelve years related experience.
Expertise in Government contracts.
ITAR, FAR within the DOD arena.
Excellent interpersonal and negotiation skills.
Excellent oral and written skills required.
Working knowledge of IP and employment law.
